1. Consent

1.1 By accessing or using the Biz Atom website operated by Inshion Pte Ltd, or applications provided by Biz Atom (collectively, “Biz Atom Services”), you agree to be bound by these terms and conditions (the “T&Cs”). 

1.2 The Services owned or controlled by Biz Atom. These T&Cs affect your legal rights and obligations. If you disagree to be bound by all of these T&Cs, do not access or use Biz Atom Services.

1.3 There are times when we offer special features that have their own terms and conditions that apply in addition to these T&Cs. In such cases, the custom terms for special features control to the extent that there is a conflict with these T&Cs.

 

2. Disclaimer

2.1 Biz Atom Services are intended for general information purposes only. Such content should not be relied on as legal or other professional advice or used as a substitute for legal or other professional advice on the specific facts and circumstances at issue. 

2.2 Biz Atom makes no representations or warranties, express or implied, about the completeness, accuracy, reliability, suitability, or availability of this website or its contents for any purpose other than providing general information. 

2.3 Biz Atom is not responsible for any losses that may arise from accessing or relying on the information contained in Biz Atom Services. 

2.4 Biz Atom hereby expressly disclaims, to the fullest extent permitted by applicable law, any responsibility for any loss or damage arising out of or in connection with the use of Biz Atom Services or their contents.

 

3. Registration

3.1 User must register for a User account to access and use Biz Atom Services.

3.2 By creating a user account for any Biz Atom Services, you automatically accept these Terms.

3.3 To use Biz Atom Portal and Services, you must provide all information and documents requested by Biz Atom. You promise and guarantee to provide accurate, current, and complete information and documentation.

3.4 In the event of a change in the information you provided during registration, you promise to update this information without delay. Biz Atom will not in any way be responsible if you have not updated your information or have not notified Biz Atom of any change in the situation.

3.5 Users who register on Biz Atom Portal have access to the Portal through a combination of username and password. The username and password combination is very private and must be kept confidential by the User.

3.6 If the password is lost, the User will be able to re-initialize his password on the Biz Atom Portal.

 

4. Terms & Conditions

4.1 You acknowledge and agree that these T&Cs strictly govern your access to and use of the Services including access to the Biz Atom Portal, from time to time 

4.2 By using the Services, you acknowledge and agree that you:

• accept these T&Cs‍;
• always comply with these T&Cs, and accept our Privacy Policy located at https://bizatom.com/privacy-policy/

4.3 You shall not (and shall not allow anyone else to): 

• reproduce, modify, distribute, transmit, post, or disclose any Website and Portal content without our prior written consent, which may be withheld at our sole and absolute discretion;
• modify, change, modify or adapt all or any part of the Online Tools in any way;
• remove any copyright, trademark, or other proprietary notices displayed on Online Tools;
• use any part of the content in Online Tools for commercial purposes without obtaining permission to do so from Us or Our licensors;
• modify the paper or digital copies of any material that you have printed or downloaded in any way;
• try  to gain access to other areas of the Biz Atom Portal by hacking, «mining» passwords, or other unauthorized means;
• link to, reflect, or frame any part of the Biz Atom Portal without our prior written consent, which may be withheld at our sole and absolute discretion;
• pretend  you are or pose as another individual; or
• use Biz Atom Services content for illegal activities and/or activities prohibited by these T&C, including developing, offering, or engaging in the performance of similar or competitive services.

4.4  When you breach these T&Cs, your right to use Biz Atom Services shall cease immediately.

 

5. Use of Services

5.1 Biz Atom may at any time suspend or terminate Biz Atom Services or any features of Biz Atom Services, including support enabling the use of the Biz Atom Portal.

5.2 Biz Atom will make every effort to ensure that Biz Atom Services are available. However, such services may be interrupted due to maintenance, repairs, upgrades, or network or equipment failures.

5.3 The operation of Biz Atom Services may be affected by external events, including but not limited to epidemics, strikes, blockades, war, acts of terrorism, riots, natural disasters, failure or reduction of power, or any force majeure event.

5.4 Biz Atom will not be responsible for any delay or failure to carry out its obligations under these T&Cs  if the delay or failure is caused by events beyond Biz Atom’s reasonable control.

 

6. Security

6.1 You shall at all times maintain the security and secrecy of Your Account Information and the username and password of Your User Account.

6.2 You shall not authorize any Third Party to use Your User Account. You may not assign or otherwise transfer Your User Account to any other natural person or legal entity.

6.3 You shall be responsible for all activity that occurs under Your User Account unless You provide sufficient evidence to our reasonable satisfaction that Your User Account has been the subject of unauthorized use.

 

7. Intellectual Property

7.1 By agreeing to these T&Cs, you agree to only subscribe to the use and access of Biz Atom Services. You acknowledge that you have limited rights to access and use Biz Atom Services and that no ownership rights are transferred to you under these T&Cs.

7.2 In addition to the content generated by Users of the Biz Atom Portal, Biz Atom owns the copyright to the content of this Portal. You may download and temporarily store one or more pages from this Portal for viewing purposes.

7.3 The storage, copying, transmission, or distribution of the content of the Biz Atom Portal and the creation of any derivative works related to the Biz Atom Portal are prohibited without our consent.

7.4 Provided the User complies with these T&Cs; Biz Atom grants the User a worldwide, limited, non-exclusive, royalty-free, non-transferable, non-transferable, and revocable license to use the Biz Atom Portal to gain access to Biz Atom Services.

7.5 The ‘Biz Atom’ mark and its logo are trademarks of Biz Atom, and nothing in these T&Cs grants the User the right to use such trademarks without Biz Atom’s prior written consent.

7.6 Biz Atom and Users may use third-party software and application programming interfaces (“APIs”) when using Biz Atom Portal or Services. However, biz Atom does not guarantee the reliability of any such third-party software or APIs.

7.7 The user agrees that Biz Atom is NOT responsible for any loss or damage arising from using such third-party software or APIs to access any information, Biz Atom Portal, or Services.

 

8. Payment Terms

8.1 Prices, features, and options of Biz Atom Services depend on the Pricing Plan you choose.

8.2 The User must pay Biz Atom in advance the fees specified in the Pricing Plan as stated on the Website for Biz Atom Services they requested.

8.3 Charges must be paid by secure payment processing entered in our Portal or Website or by electronic invoice, which can be paid securely by credit card, debit card, or bank transfer.

8.4 During the online payment process, the User will be asked to enter their payment details, which are disclosed directly to an independent third-party payment processor. Biz Atom does not collect or store this information and does not have access at any time to the User’s payment details.

8.5 All payments are processed by an independent third-party payment processor. Therefore, biz Atom excludes all liability for loss or damage that may arise from processing the User’s payment information. The terms of service of such independent third-party payment processors will apply.

8.6 All Charges for Biz Atom Services do not include VAT, sales tax, withholding tax, or other taxes that may apply/be imposed in connection with Biz Atom Services.

8.7 If the User does not pay for Biz Atom Services in full and on time, Biz Atom has the right to terminate the use of the User Account; and/or suspend and/or stop service performance in whole or in part.

 

9. Indemnity

9.1 You acknowledge and agree that you will fully indemnify us from and against any claims and/or losses of any kind suffered, suffered, or occurred, arising out of or in connection with:

• your violation of these T&C; and
• our use of any information that you submit to us through the Biz Atom Portal in connection with the service contract.

 

10. Termination

10.1 Either party may terminate Biz Atom Services by giving at least thirty (30) days written notice to the other party.

10.2 Biz Atom will not provide any refunds for the cancellation of any Biz Atom Service.

10.3 If you terminate Biz Atom Services, your access to the Biz Atom Portal will be limited to the data export function only. You will be able to export records relating to Your Company for a period of twelve (12) months from the date of termination.

 

11. Third-Party Rights

Only the User and Biz Atom are entitled to enforce these T&Cs. No third party has the right to enforce any of these T&Cs, either under the Contracts or otherwise.

 

12. Dispute Resolution

Before filing any claim against Biz Atom, you agree to try to resolve any dispute, whatever arises, informally by contacting [email protected].
